1. About LynqWyre

LynqWyre is an online marketplace that connects performers, artists, and experience-based instructors (collectively, “Artists”) with venues seeking live entertainment or hosted experiences (“Venues”). LynqWyre is operated by LynqWyre LLC, a Washington State limited liability company.

LynqWyre provides a platform for discovery, communication, and booking coordination. LynqWyre is not a party to any booking agreement between an Artist and a Venue. All bookings are direct agreements between Artists and Venues.

2. Acceptance of Terms

By creating an account, accessing, or using LynqWyre, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

These Terms apply to all users including Artists, Venues, and Audience members. You must be at least 18 years old to create an account. By registering, you confirm that you are 18 or older and located in the United States.

3. Account Types

LynqWyre offers three account types:

• •Venue — businesses or individuals seeking to book Artists or host experiences
• •Artist / Experience Host — performers, musicians, instructors, and experience providers
• •Audience — individuals who follow local events and venues

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

4. The Booking Process

LynqWyre facilitates bookings through a Handshake flow:

• •Venues post open dates with details including date, time, act type, and pay offered
• •Artists submit a Handshake request, with an optional message
• •Both parties confirm via Seal the Deal within 48 hours
• •A booking confirmation is generated for both parties

LynqWyre is a coordination platform only. We do not guarantee that bookings will be completed, that payment will be made, or that either party will perform as agreed. All terms of performance, payment, and conduct are agreed directly between Artist and Venue.

5. Pay and Compensation

Venues may post bookings with the following pay structures: flat fee, tips only, negotiable, or TBD. LynqWyre does not process, hold, or guarantee payment between Artists and Venues. Payment arrangements are made directly between the parties.

LynqWyre is not responsible for non-payment, disputes over compensation, or any financial disagreement between Artists and Venues.

6. Strike System

LynqWyre operates a strike system to maintain reliability on the platform:

• •Two confirmed backouts by either an Artist or Venue result in account suspension
• •A backout is defined as withdrawing from a confirmed booking without sufficient notice
• •Either party may submit an override request with a written reason
• •Overrides are reviewed manually by LynqWyre during the MVP stage

LynqWyre reserves the right to suspend or terminate accounts that repeatedly violate platform reliability standards.

7. Prohibited Conduct

Users may not:

• •Provide false or misleading information in their profile or booking requests
• •Use the platform to harass, threaten, or harm other users
• •Circumvent the platform to avoid LynqWyre's booking process after initial contact
• •Use the platform for any unlawful purpose
• •Attempt to access other users' accounts or platform systems without authorization
• •Post content that is discriminatory, obscene, or violates any applicable law

8. Sub Finder Feature

The Sub Finder feature allows Artists to post substitute requests for gigs they cannot fulfill. Sub Finder posts are visible to other Artists on the platform. LynqWyre does not vet, verify, or guarantee the qualifications of any Artist responding to a Sub Finder post. All arrangements made through Sub Finder are solely between the Artists involved.

9. Content and Profiles

You retain ownership of content you post to LynqWyre, including profile information, photos, and booking details. By posting content, you grant LynqWyre a non-exclusive, royalty-free license to display and use that content to operate the platform.

You are solely responsible for the accuracy of your profile. LynqWyre does not verify credentials, performance quality, venue capacity, licensing, or any other claims made by users.

10. Disclaimers and Limitation of Liability

LynqWyre is provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the reliability, accuracy, or fitness of the platform for any particular purpose.

LynqWyre is not liable for:

• •Any booking that does not occur or is cancelled
• •Non-payment or payment disputes between Artists and Venues
• •Any conduct, act, or omission of any user on or off the platform
• •Loss of income, opportunity, or reputation arising from use of the platform
• •Any indirect, incidental, or consequential damages

To the maximum extent permitted by law, LynqWyre's total liability to any user shall not exceed $100.

11. Termination

LynqWyre reserves the right to suspend or terminate any account at any time, with or without notice, for violations of these Terms or for any conduct we determine to be harmful to the platform or its users.

You may delete your account at any time using the account deletion request feature within the app. Deletion requests are processed within 30 days.

12. Governing Law and Disputes

These Terms are governed by the laws of Washington State. Any disputes arising from use of LynqWyre shall be resolved in the courts of Washington State. You agree to submit to personal jurisdiction in Washington State for this purpose.

13. Changes to These Terms

LynqWyre may update these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the platform after changes constitutes acceptance of the revised Terms.
